Part A - Website terms (gentrail.ai)
1. Acceptance
Using gentrail.ai means you accept these terms. The site is offered for business evaluation of Gentrail, not consumer use.
2. Content
Site content (text, screenshots, the roadmap, pricing indications) is provided for information. Pricing shown is indicative; actual commercial terms are set in an order form. Roadmap statements are non-binding, may change, and are not commitments to deliver any feature or timeline. We may change the site at any time.
3. Intellectual property
Gentrail, the Gentrail logo, the software, and all site content are owned by Gentrail or its licensors. No license is granted by browsing the site. You may not scrape, copy at scale, or misrepresent affiliation.
4. Demo requests
Submitting the demo form starts a sales conversation; it creates no contract and no obligation on either side. The evaluation terms in Part B apply only if we issue you a license key and you install or use the software. Personal data handling is covered by the Privacy Policy.
5. No warranties; liability cap
The site is provided "as is"; to the maximum extent permitted by law, Gentrail's aggregate liability arising from use of the website is limited to USD 100.
6. Governing law
The laws of the Province of [PROVINCE], Canada, and the federal laws of Canada applicable therein.
Part B - Free evaluation terms (60-day trial in your cloud)
We provide the Free-tier license key after a demo conversation, by email, together with these terms. By installing, deploying, or using the software after receiving the license key and these terms, you accept them on behalf of your organization. Browsing the site does not trigger Part B.
1. What you get
A non-exclusive, non-transferable, non-sublicensable license to deploy the Gentrail software in your own AWS account(s) for internal evaluation only, for 60 days from license issue, limited to monitoring and detection features and up to 10 registered agents. These limits are contractual and may also be reflected in the license key.
2. Your environment, your data
The software runs in your cloud. You retain ownership of all data the software ingests, generates, or stores in your account - agent traces, policies, rules, violations, and audit evidence. You grant Gentrail only the limited rights needed to provide support you request, operate features you enable, and perform the evaluation as authorized by you. Storage stays in your account, and licensing is verified offline (no call-home). Gentrail does not have default access to your environment: access occurs only through customer-enabled features, customer-created roles - such as the optional cross-account compliance-scanner role, a broad AWS read-only/security-audit role that can read infrastructure metadata and configuration details but has no write permissions, ExternalId-gated and revocable by you at any time - or support access you grant. Any such access is limited to what you grant.
No AI training on your data by Gentrail. Gentrail does not use your agent traces, policy documents, rules, violations, audit evidence, or any other content from your environment to train Gentrail models. Optional AI-assisted features (policy rule extraction, tool classification) call third-party model APIs - such as OpenAI and Mistral - using API credentials you supply, under your own provider accounts and agreements. Gentrail provides no model service and holds no provider credentials in your deployment; the calls originate from your environment, never reach Gentrail, and the features remain disabled until you configure them. Your agreements with your model providers govern that processing, including any training permissions. As between you and Gentrail, outputs generated for you are yours.
The terms applicable to your evaluation are the ones provided with your license key; we will not change them during your evaluation period.
3. What you may not do
You may evaluate using production-like or production telemetry, but you may not rely on the Free evaluation as your sole production control, compliance system, or incident-prevention mechanism. No reverse engineering except where law permits; no disclosure of the software or license key to third parties, except to affiliates, contractors, advisers, and service providers who need access for the evaluation and are bound by confidentiality obligations; no published benchmarking without our consent; no use to build a competing product; no removal of notices. The software is licensed, not sold. Gentrail proprietary software is not open source; third-party open-source components included with it remain governed by their own licenses. The binaries and license key are Gentrail confidential information.
4. Term, expiry, upgrade
Your right to use the Free evaluation ends 60 days after license issue, whether or not the software technically disables access. Upgrading to a paid plan is a license-key swap under a separately signed order form. On expiry without upgrade, you stop using the software and delete the binaries; data the software wrote in your account is yours to keep or delete.
5. Support
Free evaluations include no uptime commitment, service-level agreement, or guaranteed support. Gentrail may provide reasonable-efforts email support at its discretion.
6. Your AWS account
You are responsible for your AWS account, credentials, permissions, cloud charges, backups, security configuration, and deletion of resources you deploy.
7. Feedback
If you give us feedback, we can use it without restriction or obligation.
8. No warranty
THE SOFTWARE IS PROVIDED "AS IS" FOR EVALUATION, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GENTRAIL DOES NOT WARRANT THAT THE SOFTWARE WILL DETECT OR BLOCK EVERY POLICY VIOLATION, OR THAT USE OF THE SOFTWARE MAKES YOU COMPLIANT WITH ANY LAW, REGULATION, OR STANDARD (INCLUDING SOC 2, ISO 42001, NIST AI RMF, OR THE EU AI ACT). GENTRAIL DOES NOT PROVIDE LEGAL, AUDIT, CERTIFICATION, OR PROFESSIONAL COMPLIANCE ADVICE. COMPLIANCE OUTCOMES REMAIN YOUR RESPONSIBILITY.
9. Liability
To the maximum extent permitted by law: no indirect, consequential, or punitive damages; aggregate liability for the evaluation capped at USD 1,000. Nothing excludes liability that cannot lawfully be excluded.
10. Termination
Either side can end the evaluation at any time on notice; Sections 3 and 7 - 9 survive, together with the surviving provisions of Part C.
11. Governing law
The laws of the Province of [PROVINCE], Canada, and the federal laws of Canada applicable therein; exclusive jurisdiction of the courts of [PROVINCE].
Part C - General terms (apply to Parts A and B)
1. Authority
You represent that you are entering these terms on behalf of a business and have authority to bind it, and that you are not barred from receiving software under applicable law.
2. Acceptable use
You may not use the site or software to violate law, infringe others' rights, probe or disrupt our systems, or misrepresent your identity or affiliation.
3. Confidentiality
Each party will protect the other's non-public information received in connection with an evaluation with at least reasonable care, use it only for the evaluation, and return or destroy it on request. This survives termination for three years - except trade secrets, which remain protected for as long as they qualify as trade secrets.
4. Publicity
Neither party may use the other's name or logo publicly without written consent. We will never list you as a customer without your agreement.
5. Export compliance
The software may be subject to Canadian and other export-control and sanctions laws. You may not use or export it in violation of those laws, and you represent you are not located in an embargoed jurisdiction or on a restricted-party list.
6. Indemnity
For the Free evaluation, you will defend and indemnify Gentrail against third-party claims arising from your unlawful use, misuse, or breach of these terms. Paid orders are expected to address mutual indemnities, including intellectual-property indemnity, in the signed order form or master agreement.
7. Notices
Legal notices to us go to team@gentrail.ai; notices to you go to the email associated with your demo request or license. Notices are effective on receipt.
8. Assignment
Neither party may assign these terms without the other's consent, except to a successor in a merger, acquisition, or sale of substantially all assets, with notice.
9. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control.
10. Entire agreement; severability; waiver; survival
These terms (with the Privacy Policy and any license-key terms we issue you) are the entire agreement on their subject and supersede prior discussions. If there is a conflict: a signed order form controls, then license-key terms, then these terms, then website materials. If a provision is unenforceable, the rest stands. Not enforcing a provision isn't a waiver. Provisions that by nature should survive (confidentiality, IP, disclaimers, liability, governing law) survive termination.
